Agreement Overview

This User Agreement ("Agreement") is a legal contract between you ("User," "you," or "your") and LaFountain Design ("EagleLytics," "we," "us," or "our") governing your use of the EagleLytics platform and services. By creating an account or using our services, you agree to be bound by this Agreement.

Account Registration and Eligibility

To use EagleLytics, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Accept full responsibility for all activities under your account

You may register using email/password authentication or through Google OAuth. By using OAuth, you authorize us to access certain information from your Google account as specified during the OAuth flow.

Service Description and Usage Rights

EagleLytics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for legitimate business purposes related to inventory management and e-commerce operations.

The Service includes:

• Web-based dashboard for managing supplier connections
• Automated web crawling and product scanning capabilities
• Scheduled synchronization features
• Scan history and reporting tools
• Integration with BigCommerce, Shopify, and WooCommerce platforms

Supplier Credentials and Data Security

When you provide supplier platform credentials (API keys, passwords, or tokens) to EagleLytics:

• You represent that you have the legal right to provide these credentials
• You authorize EagleLytics to use these credentials solely for scanning and monitoring purposes
• You acknowledge that credentials are encrypted and stored securely in our database
• You remain responsible for the accuracy and validity of provided credentials
• You can revoke access by deleting the supplier connection at any time

EagleLytics implements industry-standard security practices including encryption at rest, HTTPS/SSL for all communications, and restricted access controls. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

Prohibited Activities

You agree not to:

• Use the Service to scan websites without proper authorization
• Attempt to circumvent any security measures or access restrictions
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated scripts or bots to access the Service beyond normal usage
• Resell, sublicense, or distribute access to the Service without written permission
• Use the Service in any way that could damage, disable, or impair our infrastructure
• Violate any applicable laws, regulations, or third-party rights
• Engage in any activity that constitutes harassment or abuse

Data Ownership and Usage

Your Data: You retain all ownership rights to data you input into EagleLytics, including supplier information, scan configurations, and business data.

Scan Results: Product data obtained through scans is made available to you for your business operations. While you can use this data for legitimate purposes, you acknowledge that the underlying product information may be subject to the supplier's terms and copyright.

Aggregated Data: We may collect and use aggregated, anonymized data for analytics, service improvement, and research purposes. This data does not identify you or your specific business operations.

Service Availability and Modifications

While we strive for high availability, EagleLytics does not guarantee uninterrupted or error-free service. We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service
• Impose usage limits or restrictions
• Perform maintenance and updates with or without notice
• Change pricing and service tiers (with notice to existing users)

Payment and Billing

Payment terms, if applicable, will be clearly communicated during signup or plan selection. You agree to:

• Provide accurate billing information
• Pay all fees and charges on time
• Notify us of any billing disputes within 30 days
• Accept that unpaid accounts may be suspended or terminated

Account Termination

By You: You may terminate your account at any time through the account settings page. Upon termination, your data will be retained for 30 days for recovery purposes, then permanently deleted.

By Us: We may suspend or terminate your account if you violate this Agreement, engage in fraudulent activity, or for any reason at our discretion. We will provide notice when possible, but reserve the right to immediate termination for serious violations.

Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements
• Scan results will be 100% accurate or complete
• The Service will be uninterrupted, timely, or error-free
• Any errors or defects will be corrected

Limitation of Liability

IN NO EVENT SHALL LAFOUNTAIN DESIGN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability to you for any claims arising from this Agreement shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless LaFountain Design, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of this Agreement
• Your use or misuse of the Service
• Your violation of any third-party rights
• Any unauthorized scanning or data collection activities

Dispute Resolution

Any disputes arising from this Agreement shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Changes to This Agreement

We may update this Agreement from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

This Agreement, together with our Privacy Policy and Terms & Conditions, constitutes the entire agreement between you and EagleLytics regarding the use of the Service, superseding any prior agreements.
